Terms of Services for Agencies

Version dated 13 October 2026

These specific terms supplement the General Terms of Use for Pharma-Marketing.com. Both documents must be made accessible before their respective contracts are concluded and validly agreed. References to Part A refer to the General Terms of Use.

PART B – SPECIFIC TERMS FOR THE AGENCY FINDER AND PREMIUM AGENCY LISTINGS

B.1 Scope and contracting party

These specific terms concern the “Agencies” platform role and registering, claiming, managing and publishing agency listings and Premium services in the agency finder. They apply both to basic agency accounts and free basic listings and to Premium subscribers and their listings. Anyone using an agency account or the agency service area must validly agree to these terms in addition to the general platform terms. They also apply to the relevant agency contract where management access is obtained through an expressly granted organisational permission. They do not apply to exhibitors, events, recruiting or other service areas.

The rules on permissions, approvals, lawful content and listing management apply regardless of whether a listing is free or paid. The specific payment, term, renewal and subscription rules in sections B.8 to B.11 apply only to the extent that a corresponding paid service is separately ordered and agreed. Registering a basic agency account, selecting the agency role or managing a free listing creates neither a payment obligation nor a Premium subscription.

Business agency management and the purchase of Premium are offered exclusively to businesses within the meaning of section 14 of the German Civil Code acting for their commercial or independent professional purposes, and to legal entities under public law and special funds under public law. Where an employee acts for an agency, their personal user account must be distinguished from a contract concluded on the agency’s behalf. Selecting the “Agencies” role does not automatically turn personal registration into a business purchase. Paid agency services are not offered for private consumer purposes. Consumers may also use the public agency finder; searching alone does not involve a Premium subscription.

The contracting party for an agency purchase is the business or self-employed businessperson clearly identified in the order. Anyone acting for an agency must have authority to represent it or appropriate authorisation for the relevant action. A personal user account or account role does not replace that authority.

B.2 Purpose of the agency finder

The agency finder enables searches for pharma and healthcare marketing agencies and the presentation of their business information. In relation to services provided by other listed agencies, we are neither an intermediary authorised to conclude contracts nor a party to a service agreement between a person searching and an agency.

Contact, selection, agreement on services and payment for an agency's services are the responsibility of the parties involved. Services offered by the operator itself as an agency may be governed by separately agreed agency service contracts.

A listing, approval or Premium status is not an independent quality assessment, professional certification or guarantee of commercial success. Descriptions such as “leading service providers” in advertising presentations do not represent a comparative quality assessment of all market participants.

B.3 New listings, claims and approval

A new listing or claim to an existing listing requires accurate business information, a declaration of authority and suitable supporting evidence as requested. We may request additional documents or confirmation through independently obtained business contact details.

An application does not grant management permissions or an entitlement to publication before approval. We assess, in particular, business identity, the applicant's apparent authority, duplicates and suitability for the stated directory purpose. We may reject an application where evidence is missing, information is inaccurate, the listing is a duplicate, content is unlawful or the business does not fall within the agency finder's scope. A paid service must not be rejected without performance and without a legally justified settlement or refund.

Approval confirms management permissions following the review performed; it does not certify the quality, completeness or professional accuracy of every profile statement.

A pending or rejected application may be withdrawn through the available function. This does not automatically delete or end an existing public agency listing, organisational membership already validly granted, or subscription.

Public basic listings may exist independently of a registered contact person. Legitimate correction and deletion requests are assessed under applicable law.

B.4 User roles and subscription access

The “Agencies” platform role alone does not grant ownership, editing or invoice permissions for a specific agency listing. The relevant approved organisational permission is decisive.

An agency may assign different permissions to multiple individually registered users. It must restrict permissions to authorised people and update them without undue delay when their authority ends.

The “Owner” role has extensive permissions: all current owners and accounting users of the respective agency can access its subscription management and invoices within the system, use the available payment detail functions and cancel renewal. These functions are not limited to the person who originally placed the order. Permissions for other agencies do not grant such access.

Anyone who validly authorises a person to manage subscriptions and assigns the corresponding organisational permissions must take into account that the person can carry out the available management actions. Statutory rules on authority to represent a business remain unaffected; a technical role alone does not create authority that is actually absent.

Staff changes, withdrawal of a role or departure of the original purchaser do not automatically change the contracting party. For ongoing subscriptions, the agency must maintain an authorised contact and the necessary management access. Transfer of a contract to another business requires our consent.

B.5 Basic and Premium services

A basic agency account and a basic listing are free within the scope offered. They do not create an entitlement to paid additional functions or a particular advertising placement. There is no automatic conversion into a paid Premium subscription.

Premium expands the presentation with the functions described before ordering. These may include a logo and images, an extended agency profile, additional contact details, selection of services and areas of expertise, highlighted directory placement and presentation in Premium partner areas. The specific service description at the time of contracting is authoritative; this illustrative list does not replace it.

Advertising visibility may depend on enabled pages or blocks, selected filters, the number of eligible partners and the relevant display area. We do not promise a particular number of visitors, enquiries, orders or revenue, or results in search engines or AI systems. An expressly agreed placement or function remains owed.

Premium services may also be granted at a discount or without charge under a separate arrangement. Free or manually granted Premium access does not create a paid subscription without a separate order.

B.6 Highlighting, ordering and transparency

Matching Premium listings appear before basic listings in the agency finder. Premium listings are ordered alphabetically by agency name; basic listings follow a random order that changes daily. Filters narrow the displayed results. The order does not assess professional quality.

Premium partner carousels use a random order and automatically cycle through multiple partners. A permanent first position, exclusive placement or consistent frequency of display is not owed unless expressly agreed separately.

Premium presentations are advertising highlights and are identified in the relevant advertising areas, for example as “Anzeige” or “Sponsored”. Premium status is not an independent editorial recommendation.

The operator itself operates in the agency business and may present its own services in the directory. Such presentations are attributed to the operator and made recognisable as advertising. The described sorting rules do not provide additional preference because of that relationship.

B.7 Content and granted usage rights

The agency is responsible for information, descriptions, taxonomy selections, links, logos, images and other content provided by it or its authorised users. It must keep them accurate, current and lawful. Misleading references, unsupported service claims, unlawful therapeutic or efficacy claims and unlawful advertising are prohibited. Where applicable, competition, healthcare advertising, trademark, copyright and data protection law must be observed.

The agency may provide only content for which it holds the rights required for the intended publication. These include, where applicable, rights of photographers, depicted people, customers and trademark owners. By providing content, it grants us a non-exclusive, worldwide licence to store, reproduce, make publicly available and technically adapt that content for the agreed listing and booked presentations.

Technical adaptations include, in particular, resizing, format conversion, compression and adjustment to the available display areas. They do not permit distortion of the substance, use in unrelated advertising or sale of the content. Necessary technical service providers may be engaged exclusively for this purpose.

The licence applies for the relevant lawful publication and a reasonable technical updating and removal period after it ends. It does not permit further public use of removed content. Evidence or archive copies required by law may be retained with restricted access. Rights of external search engines and the handling of third-party copies are governed by the applicable rules.

The agency indemnifies us against justified third-party claims arising from a culpable breach by the agency of its obligations under this section. This includes necessary and reasonable legal defence costs. We will notify the agency without undue delay, allow reasonable participation and not acknowledge claims or agree settlements without its consent unless legally obliged to do so. No indemnity is agreed for infringements for which we are ourselves responsible.

B.8 Ordering and contract formation

The service overview and entry into Checkout do not yet constitute a paid order. Before the final order, the selected agency service, billing period, price including its tax treatment and subscription conditions are displayed. Input errors can be corrected before completion.

By submitting the final order, clearly identified as involving payment, the authorised representative makes a binding offer on behalf of the stated contracting party. We accept it through an express order acceptance or, at the latest, by activating the Premium service ordered. A mere acknowledgement of receipt or payment confirmation constitutes acceptance only if it expressly states this. A payment that is not allocated to an accepted order will be refunded.

The order and relevant contractual information, including the agreed terms, are confirmed electronically and provided in a form that can be saved. The agency must check its order, invoice and contact information carefully.

B.9 Prices, taxes and payment

The price, currency and billing period displayed at the time of ordering are authoritative. Whether VAT is included or payable in addition is stated before the final order. For cross-border services, tax treatment depends on applicable law and accurate business and tax information.

Annual subscriptions are billed annually in advance for the respective billing period. The due date and payment method are set out in Checkout and the contract confirmation. The subscription order authorises recurring charges to the selected payment method at the agreed annual price. The agency must maintain current billing information and a usable payment method.

Payments and the invoice portal are handled through Stripe. Stripe is a payment service provider; the operator remains the contracting party for our agency service. Any payment provider terms relevant to the selected payment method are displayed during the payment process. We use the data necessary for payment and billing in accordance with the privacy policy.

Vouchers and promotional codes apply only within the scope and period expressly described. A discounted initial period does not imply a permanent discount unless this has been promised.

The price of an existing subscription is not changed merely by updating the price overview. Price increases for existing contracts require a valid agreement or an applicable statutory basis. Without such a basis, the existing price agreement remains authoritative.

B.10 Term, renewal and ordinary cancellation

Unless expressly agreed otherwise in the specific offer, Premium is purchased as an annual subscription for twelve months. The binding start of the service and the end of the first billing period are set out in the contractual information and subscription display. Activation takes place after payment is confirmed; delayed payment methods may require waiting for payment confirmation. Technical activation delays for which we are responsible must not reduce an already agreed service entitlement without appropriate compensation.

The subscription renews for a further twelve months each time unless it is cancelled before the next billing period begins, effective at the end of the current period. The agency may give this cancellation notice at any time during the current period; no additional notice period of several weeks is agreed.

Cancellation may be submitted through “Manage subscription & invoices” in the customer portal or in text form, for example by email to the address under “Provider and contact”. The contract and agency must be clearly identifiable. Timely receipt of the cancellation notice is decisive. Email cancellation remains available independently if the portal has technical problems.

We may ordinarily terminate an annual subscription at the end of the current billing period on 30 calendar days' notice in text form. Additional mandatory statutory requirements remain unaffected.

Following ordinary cancellation, Premium generally remains available until the end of the paid service period. Premium functions then end; a basic listing that remains eligible may continue. Cancellation does not create an entitlement to a proportionate refund of an annual subscription that continues to be provided until its agreed end. Statutory or expressly agreed refund rights remain unaffected.

B.11 Payment problems and termination for good cause

A failed payment does not constitute cancellation. It does not extend the confirmed paid service period. Where payment for a new period is missing, the Premium functions relating to that period may be suspended pending clarification. Services already validly paid for and still owed remain available, subject to other justified measures.

For payment default or other remediable material breaches, termination for good cause generally requires an unsuccessful reasonable deadline to remedy the breach or a warning, unless legally unnecessary. The agency has the same right where the operator materially breaches the contract.

Refunds, chargebacks and payment disputes are assessed in light of the underlying entitlement. A justified complaint or exercise of statutory rights does not, by itself, constitute a contractual breach. Specific fraud or security risks may justify proportionate provisional safeguards; clarification follows Part A.8.

Restriction or removal of a profile does not automatically terminate or renew the subscription. Where agreed services are not provided, the consequences for payment, price reduction, refunds and termination depend on the reason for the measure, the specific agreement and applicable law. No blanket obligation to continue paying for every suspension is agreed.

B.12 Complaints and service rights

Listing errors, missing booked functions and other service problems may be reported with the agency's identity and as specific a description as possible. We assess the report and remedy errors for which we are responsible within a reasonable time.

Statutory rights concerning services not provided or provided defectively remain unaffected. Failure to generate enquiries, orders or other commercial results that have not been promised does not, by itself, constitute a service defect.

Consent to publication of a profile, approval of an application or payment does not replace authorisation for unlawful content.

B.13 Data access and the end of management rights

Authorised users may view and edit the agency data available to their role in the dashboard. Current Owners may also use the contractual and invoice information available for the respective agency. Public profile information is accessible to visitors and may be indexed by search engines.

Individual visitor data and confidential account, contractual or invoice data of other agencies are not provided. Additional analytics, interfaces or data exports are owed only where expressly offered and agreed. Statutory information and data protection rights remain unaffected.

When permissions are withdrawn, the corresponding management access ends. The end of a Premium subscription ends only the additional rights relating to that subscription; continuing basic and organisational permissions remain unaffected. The agency should save content and invoices it still needs in good time; statutory rights to disclosure or information remain unaffected. Eligible basic information may remain publicly listed. Evidence, contractual and payment documents are retained only within applicable purposes and retention obligations.

The agency may offer its services outside this platform and on other platforms. No exclusivity or price restriction is agreed for its own agency services.

B.14 Business transactions, changes and jurisdiction

There is no statutory consumer withdrawal right for the professional agency purchases described here. A voluntary withdrawal or refund right is granted only where expressly promised. Mandatory rights remain unaffected if, contrary to the intended business model, a contract is in fact classified as a consumer contract.

Changes to existing agency contracts are governed by Part A.11. The essential substance of an ongoing fixed contractual period will not be unilaterally diminished. Where specific statutory platform rules apply to the particular service, their requirements concerning information, explanations, amendment periods and termination remain unaffected.

Munich is the agreed place of jurisdiction for disputes with merchants within the meaning of German commercial law, legal entities under public law or special funds under public law, to the extent such an agreement is legally permitted. Otherwise, statutory rules on court jurisdiction apply.
