Aurobindo USA receives FTC clearance for Lannett acquisition
Aurobindo Pharma USA has received approval from the U.S. Federal Trade Commission to proceed with its planned acquisition of Lannett Company, the company announced.
The transaction is valued at 250 million U.S. dollars on a cash-free and debt-free basis, including normalized working capital. Closing is expected before the end of June 2026.
Broader position in complex generics
Lannett is a Pennsylvania-based generics company with a portfolio that includes complex, non-opioid controlled substances. For Aurobindo USA, the deal broadens its offering in a specialized part of the U.S. generics market.
The acquisition also adds Lannett’s manufacturing site in Seymour, Indiana, to Aurobindo USA’s network. According to the company, the facility can be scaled to approximately 4 billion doses per year.
Domestic manufacturing capacity in focus
By adding the Indiana site, Aurobindo USA expands its U.S. manufacturing footprint. The move aligns with U.S. policy priorities focused on more resilient pharmaceutical supply chains and increased domestic production.
Aurobindo Group expects the transaction to be immediately accretive to earnings per share. The company also anticipates cost efficiencies, SG&A synergies and operational benefits from integration.
Management from both companies highlighted the strategic fit of the deal. Aurobindo USA aims to strengthen its position in complex generics and controlled substances, while Lannett is expected to benefit from broader market access and additional resources.
